SmartBuddy Terms of Service

These Terms of Service ("Terms") govern your use of SmartBuddy (the "Service"), provided by KIWIAGENT LIMITED ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

SmartBuddy is a personal AI assistant that helps you manage email, schedules, reminders, and daily tasks. The Service is available as a mobile app on the Apple App Store and Google Play, and through our website. Depending on the features you enable, SmartBuddy can:

  • Summarise email and draft replies (drafts are always presented for your review before sending);
  • Create reminders and schedule items;
  • Monitor information you ask it to watch (for example, specific emails or price alerts) and notify you;
  • Answer questions and help with writing tasks.

The Service uses artificial intelligence. AI-generated output may be incorrect, incomplete, or outdated. You are responsible for reviewing AI output before relying on it, particularly for email drafts you send and for important decisions.

2. Eligibility and Accounts

  • The Service is intended for adults. You must be at least 18 years old to use the Service.
  • You agree to provide accurate information when setting up the Service.
  • You are responsible for keeping your SmartBuddy account credentials secure and for all activity under your account. If you believe your account has been compromised, contact us immediately.

3. Connecting Email and Other Accounts

  • To use email features, you connect a mailbox in the app. We never ask for your email password. For Gmail, iCloud or Yahoo you create an app-specific password in your email account — it works only for mail and you can revoke it there at any time; for Outlook you sign in with Microsoft.
  • You must comply with your email provider's terms of service (for example, Google's, Apple's, Yahoo's or Microsoft's terms) when using the Service with those accounts.
  • You can disconnect any connected account at any time from within the Service.

4. Subscriptions, Fees, and Payments

  • The Service may include a free tier ("Lite") with limited features and usage limits. We may change, limit, or discontinue the free tier at any time.
  • Paid plans are offered on a subscription basis, and payment is processed by Stripe (our payment provider).
  • We do not collect or store your payment card details — those are processed and stored by Stripe under Stripe's terms and privacy policy.
  • Subscriptions auto-renew until cancelled. You can manage or cancel your subscription at any time in your SmartBuddy account / billing portal. Cancellation takes effect at the end of the current billing period.
  • No free trial is currently offered. If we introduce a trial in the future, we will update these Terms.
  • Refunds: please contact us for refund requests. Refunds are provided in accordance with the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986 and, where applicable, your local consumer law.
  • We may change subscription prices in the future. We will provide you with reasonable notice (by email or in the Service) before a price change takes effect. If you do not agree to the new price, you can cancel before it applies.
  • Family/group plans are not currently offered. If we introduce them, we will update these Terms.

5. Acceptable Use

You agree not to:

  1. Use the Service for any unlawful purpose or in violation of these Terms;
  2. Attempt to access another user's account or data;
  3. Use the Service to send spam, harass others, or violate anyone's privacy;
  4. Reverse engineer, copy, or resell the Service or its underlying software;
  5. Interfere with or disrupt the Service, its servers, or connected networks;
  6. Use the Service in a way that violates your email provider's terms or applicable law.

6. Your Data and Content

  • You retain all rights to the content in your connected accounts (your emails, calendar, and other data) and to the content you provide to the Service.
  • By connecting an account and using the Service, you grant us the limited permission needed to access and process that content for the purpose of providing the Service to you (for example, summarising email or creating reminders). This permission ends when you disconnect the account or delete your data.
  • We do not claim ownership of your content, and we do not use your content to train our models.
  • If you delete your account, we will delete your content in accordance with our Privacy Policy.

7. Our Intellectual Property

  • The Service, including its software, design, and branding ("SmartBuddy"), is owned by KIWIAGENT LIMITED and is protected by intellectual property laws. You may not use the SmartBuddy name or logos without our written permission.
  • You may not copy, modify, distribute, sell, or lease any part of the Service.

8. Third-Party Services

The Service integrates with third-party services, including email providers (such as Gmail, iCloud, Yahoo and Outlook), third-party AI service providers (described in our Privacy Policy), sign-in and notification services (Google and Apple), and payment processing (Stripe). We are not responsible for the operation, security, or privacy practices of third-party services. Your use of those services is governed by their own terms and privacy policies.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or fit for a particular purpose.

Nothing in these Terms excludes, restricts, or modifies any right or remedy you have under the New Zealand Consumer Guarantees Act 1993 or other laws that cannot be excluded (including rights you may have as a consumer in your country of residence).

10. Limitation of Liability

To the maximum extent permitted by law, KIWIAGENT LIMITED and its directors, employees, and contractors will not be liable for:

  1. Indirect, incidental, special, or consequential damages (including loss of profits, data, or business opportunities);
  2. Any loss arising from your reliance on AI-generated output, including email drafts, summaries, or reminders;
  3. Any loss arising from your use of third-party services connected through SmartBuddy.

Our total liability to you for all claims relating to the Service in any 12-month period will not exceed the amount you paid us for the Service in that period. This limitation does not apply to liability that cannot be limited by law.

11. Termination

  • By you: You may stop using the Service and delete your account at any time. Your subscription will continue according to its auto-renewal terms until you cancel it in your SmartBuddy account / billing portal.
  • By us: We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service (with reasonable notice where practicable).
  • On termination, your right to use the Service ends. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, and 13) will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before the changes take effect. If you continue to use the Service after the effective date, you accept the updated Terms.

13. Governing Law and Disputes

  • These Terms are governed by the laws of New Zealand.
  • We will try to resolve any dispute amicably. If we cannot, you agree that the courts of New Zealand have exclusive jurisdiction. Nothing in this section limits your rights under consumer protection laws in your country of residence.
